1. Acceptance of Terms

By accessing or using any service provided by Secure Technology ("Company", "we", "us", or "our"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our website or engage our services.

2. Services Offered

Secure Technology provides software development and technology services including, but not limited to:

• Custom web application development (PHP/MVC, React, Angular, Vue)
• Mobile application development (React Native, Android)
• AI & Machine Learning solutions, LLM agents, NLP, and Computer Vision
• Enterprise Resource Planning (ERP), Warehouse, Hospital, and School Management Systems
• E-Commerce platforms, Barcode systems, and Cloud/Hosting solutions
• Internet marketing and SEO services

Specific deliverables, timelines, and pricing are defined in individual project agreements or statements of work (SOW).

3. Client Responsibilities

Clients engaging our services agree to:

• Provide accurate, complete, and timely information required for project execution.
• Review and provide feedback within agreed timelines to avoid project delays.
• Ensure they hold rights to any content, assets, or data provided to us for use in deliverables.
• Not use our deliverables for any unlawful, harmful, or unethical purposes.
• Make timely payments as per the agreed payment schedule.

4. Intellectual Property

4.1 Client-Owned Deliverables

Upon receipt of full payment, all custom code, designs, and deliverables created specifically for a client project are assigned to the client, unless otherwise agreed in writing.

4.2 Our Retained Rights

Secure Technology retains ownership of all pre-existing intellectual property, frameworks, libraries, tools, and methodologies used in the provision of services. Generic, reusable components remain the property of Secure Technology and are licensed (not sold) to clients for use within their project.

4.3 Portfolio Rights

Unless explicitly requested otherwise in writing, Secure Technology reserves the right to showcase completed projects in our portfolio, case studies, and marketing materials.

5. Payment Terms

• All prices are quoted in Indian Rupees (INR) unless otherwise stated.
• Projects typically require a 30–50% advance before work commences.
• Final payment is due prior to delivery of final files or deployment to production.
• Overdue payments attract a late fee of 2% per month after 15 days from invoice date.
• We reserve the right to suspend services for accounts with overdue balances exceeding 30 days.

6. Project Changes & Scope

Any changes to the agreed project scope ("change requests") must be submitted in writing. Additional work outside the original scope will be quoted separately and billed accordingly. Secure Technology is not responsible for delays caused by scope changes requested during active development.

7. Warranties & Limitation of Liability

We warrant that our services will be performed with reasonable skill and care. However:

• We do not warrant that software will be entirely free of bugs or errors at all times.
• We are not liable for indirect, incidental, special, or consequential damages arising from use of our services.
• Our total aggregate liability is limited to the amount paid by the client in the three (3) months preceding the event giving rise to the claim.
• We are not responsible for third-party service outages (hosting providers, payment gateways, APIs, etc.).

8. Confidentiality

Both parties agree to keep confidential any proprietary business information, technical data, or trade secrets disclosed during the course of the engagement. This obligation survives termination of the engagement for a period of three (3) years.

9. Termination

Either party may terminate a project engagement with 14 days' written notice. Upon termination:

• The client will be invoiced for all work completed up to the termination date.
• Deliverables for completed and paid milestones will be transferred to the client.
• Advance payments for uncompleted, un-started milestones may be refunded at our discretion.

10. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Palwal, Haryana, India.

11. Changes to These Terms

We reserve the right to modify these Terms & Conditions at any time. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
